1. Acceptance of Terms

By downloading or using ClauseGuard, you agree to these Terms of Use. If you do not agree, do not use the app.

2. Description of Service

ClauseGuard is an AI-powered contract analysis application that identifies potentially risky clauses in contracts and provides plain-English explanations. ClauseGuard is not a substitute for professional legal advice. Always consult a qualified solicitor or lawyer for important legal matters.

3. No Legal Advice

ClauseGuard provides AI-powered pattern matching and general information only. Nothing in the app constitutes legal advice, and no solicitor-client relationship is formed by use of the app. Fifth Path Ltd accepts no liability for any decisions made based on ClauseGuard's analysis.

4. Subscriptions and Payments

ClauseGuard offers an annual subscription at £39.99/year with a 3-day free trial. Payment is charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew annually unless cancelled at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your App Store account settings. Any unused portion of a free trial is forfeited upon purchasing a subscription.

5. Data & Privacy

All contract scans and scan history are stored locally on your device only. We do not transmit, store, or access any contracts or documents you scan. Contract text submitted for AI analysis is processed in real time and not retained. See our Privacy Policy for full details.

6. Acceptable Use

You agree not to:

• Use the app for any unlawful purpose
• Attempt to reverse engineer or exploit the app
• Use the app to analyse documents you do not have the right to access
• Rely on the app as your sole source of legal analysis for high-value contracts

7. Intellectual Property

ClauseGuard and all associated content are owned by Fifth Path Ltd. You are granted a limited, non-exclusive licence to use the app for personal or business purposes. You may not reproduce, distribute, or create derivative works from the app.

8. Disclaimer of Warranties

ClauseGuard is provided "as is" without warranties of any kind. We do not warrant that the app will be error-free, uninterrupted, or that its analysis will be accurate or complete for any specific contract.

9. Limitation of Liability

To the maximum extent permitted by law, Fifth Path Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of ClauseGuard, including but not limited to any decisions made in reliance on the app's analysis.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the app after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
